The Sony-Apollo offer was first reported by The Wall Street Journal. The Journal reported previously that Apollo had made an offer to buy Paramount on its own but Paramount's board had concerns about the bid, including whether it could arrange financing for a deal.

Paramount Global consists of mainly 2 things - one is paramount pictures & other is paramount cable. As per foreign investment rule of USA, no foreign company can have majority ownership on USA cable networks. So Sony has to find a way for that. Sony can buy paramount pictures without any objection but Shari Redstone of paramount wants to offload all of paramount at once including cable network. This is not the first time Sony tried to buy paramount. Sony tried it before the merger talks between Paramount & Warner Bros Discovery on January 2024. But the cable network caused problem. So this time Sony teamed up with American investment firm Apollo Global to ease some of the regulatory concern.
